These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and PixPlace Space(“PixPlace,” “we,” “us,” or “our”) governing your access to and use of the PixPlace platform at pixplace.space, the Creative Studio at app.pixplace.space, the PixPlace Android application, and all related services, features, APIs, and applications (collectively, the “Platform”).

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.

1. Eligibility and Account Registration

You must be at least 13 years of age to use the Platform. If you are located in the European Economic Area (EEA), you must be at least 16 years old (or such higher age as required by your country's law). Users in Spain or Portugal must be at least 14. Users in the United States who are under 18 represent that they have parental or guardian consent.

By using the Platform, you represent and warrant that: (a) you meet the applicable minimum age requirement; (b) all registration information you provide is accurate and complete; (c) you will keep your account information current; (d) your use of the Platform does not violate any applicable law or regulation; and (e) you have the full legal capacity to enter into and be bound by these Terms.

Employees, contractors, and representatives of PixPlace are also subject to these Terms in addition to any applicable employment or contractor agreements.

2. Description of the Platform

The PixPlace Platform consists of:

  • Community Feed: A social feed where users browse, like, share, comment on, repost, and download AI-generated images and videos posted by other users.
  • AI Studio (app.pixplace.space): A professional AI generation tool supporting text-to-image and text-to-video generation using multiple AI model providers. Access requires Energy.
  • Spaces: Thematic content boards created and curated by users, which can be public or private.
  • Stories: Ephemeral short-form content (images or videos) visible in the Stories tray.
  • Messaging: One-on-one direct messaging with text and media attachment support.
  • Audio/Video Calls: Peer-to-peer audio and video calls using WebRTC technology.
  • Asset Library: A curated library of stock videos, audio tracks, fonts, overlays, LUTs, stickers, and VFX assets available for use within the Studio.
  • Android Application: A Trusted Web Activity (TWA) Android app that delivers the full pixplace.space experience natively on Android devices.
  • Shorts: Short-form video content.
  • Affiliate Program: A creator revenue program for referring new subscribers.
  • Partner Program: A B2B partnership program for AI model developers, agencies, and compute sponsors.

3. User Accounts

To access certain features you must create an account. You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activities that occur under your account, whether or not authorized by you;
  • Promptly notifying us at [email protected] of any unauthorized use of your account.

You may not create an account using a false identity, impersonate another person or entity, or create multiple accounts for abusive purposes. Accounts created using automation are prohibited without our prior written permission.

We reserve the right to terminate or suspend accounts that violate these Terms, at our sole discretion, with or without notice.

Pool and Bot accounts: PixPlace may operate platform accounts including demonstration pool accounts and bot notification accounts for service purposes. Such accounts are clearly distinguished in the system and are subject to separate operational policies.

4. User Content and Intellectual Property

4.1 Your Ownership

You retain ownership of any original creative works you upload to the Platform (“User Content”). By submitting User Content, you represent and warrant that:

  • You own or have obtained all necessary rights, licenses, consents, and permissions to submit and publish the User Content;
  • Your User Content does not infringe the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party;
  • Your User Content complies with all applicable laws and these Terms;
  • If your User Content includes the likeness, voice, or personal data of third parties, you have obtained their explicit consent.

4.2 AI-Generated Content Ownership

Content generated using the AI Studio (“Generated Content”) is subject to the ownership and licensing terms of the respective AI model provider. You acknowledge that:

  • Legal ownership of AI-generated output may vary by jurisdiction and the laws applicable to AI-generated works;
  • Some AI model providers may retain limited rights to generated outputs pursuant to their terms of service;
  • PixPlace does not claim ownership of Generated Content beyond the license granted in Section 5;
  • You are responsible for reviewing the terms of the AI provider whose model you use to generate content.

5. Content License Grant to PixPlace

By submitting, uploading, or publishing any User Content or Generated Content on the Platform, you grant PixPlace a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify (for formatting and display purposes), create derivative works from, communicate, publish, and distribute such content across all formats and channels now known or hereafter developed, solely for the purposes of operating, improving, and promoting the Platform.

This license continues for the period during which your content remains on the Platform and for a reasonable period thereafter for backup, archiving, and residual system purposes. You may delete your content at any time (subject to moderation holds and legal retention requirements), at which point the license terminates for future uses (but not for content already distributed or cached).

6. Community Content License (Free Commercial Use)

Content published in the public community feed — including images, videos, and Shorts — is made available to all Platform users under the following license:

PixPlace Community Content License: Subject to the specific per-post settings configured by the author (allowDownload, allowExtract), publicly published community content may be:

  • Downloaded in full resolution, watermark-free;
  • Used for commercial purposes including advertising, products, publications, and video production;
  • Used without attribution to the original author (though attribution is appreciated);
  • Frame-extracted from videos using the Platform's built-in extraction tool.

Restrictions: This license does not permit:

  • Reselling community content on stock media marketplaces as standalone items;
  • Claiming authorship of content you did not create;
  • Using content in ways that violate the rights of the original creator;
  • Downloading or extracting content where the author has disabled download or extraction;
  • Automated bulk downloading of content for commercial redistribution.

PixPlace reserves the right to modify the Community Content License terms with appropriate notice. Existing published content will remain subject to the license terms applicable at the time of publication unless the author updates their post settings.

7. AI-Generated Content and AI Studio

7.1 Acceptable Use of AI Generation

You agree to use the AI Studio only for lawful purposes. You must not generate:

  • Child sexual abuse material (CSAM) or any sexualized content depicting minors;
  • Non-consensual intimate imagery (NCII) or deepfakes of real individuals without their consent;
  • Content that constitutes threats, harassment, or incitement to violence against identifiable individuals;
  • Disinformation or synthetic media designed to deceive the public about real events or real people's statements;
  • Content that infringes the copyright or trademark of third parties;
  • Content that facilitates illegal activities.

Violations of these restrictions may result in immediate account suspension, permanent ban, and referral to appropriate authorities.

7.2 Prompt Content

Your generation prompts are transmitted to third-party AI providers. You are solely responsible for the content of your prompts. Do not include sensitive personal information, confidential business information, or third-party proprietary data in your prompts.

7.3 No Guarantee of Output

AI generation results are probabilistic and non-deterministic. PixPlace makes no warranty that generation will produce a specific result. Energy consumed in failed or unsatisfactory generations is non-refundable except where required by applicable law or as explicitly provided in our refund policy.

8. Prohibited Conduct

You agree not to engage in any of the following:

8.1 Illegal and Harmful Content

  • Publishing, uploading, or distributing content that is illegal in your jurisdiction or the jurisdiction of the affected parties;
  • Content that constitutes, facilitates, or promotes terrorism, genocide, or mass violence;
  • Content that constitutes hate speech targeting individuals or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or similar characteristics;
  • Content depicting graphic violence, gore, or extreme cruelty without legitimate artistic or educational context;
  • CSAM or content that exploits, harms, or endangers minors in any way;
  • Content that violates the privacy or publicity rights of individuals, including unauthorized posting of private images or videos.

8.2 Platform Abuse

  • Using automated tools, bots, scrapers, or scripts to access, extract, or interact with the Platform without our written permission;
  • Attempting to circumvent, disable, or interfere with security features of the Platform;
  • Attempting to gain unauthorized access to other accounts, systems, or networks;
  • Introducing malware, viruses, trojans, or other harmful code;
  • Conducting denial-of-service attacks or overloading Platform infrastructure;
  • Reverse engineering, decompiling, or disassembling any part of the Platform;
  • Manipulating engagement metrics (likes, followers, views) through artificial means.

8.3 Fraud and Misrepresentation

  • Impersonating PixPlace, its employees, or other users;
  • Creating false impressions about the origin, authenticity, or creator of content;
  • Submitting fraudulent reports or abuse complaints;
  • Attempting to manipulate the affiliate or referral system through fraudulent means.

8.4 Commercial Misuse

  • Reselling access to the Platform or Platform features without authorization;
  • Using the Platform to conduct unauthorized multi-level marketing, pyramid schemes, or similar operations;
  • Sending unsolicited commercial communications (spam) through Platform messaging.

9. Moderation, Reports, and Enforcement

PixPlace reserves the right (but is not obligated) to review, monitor, remove, edit, or restrict access to any User Content at our sole discretion, without notice, for any reason, including but not limited to violations of these Terms.

Users may submit reports against posts or users they believe violate these Terms using the built-in reporting system. Reports are reviewed by our moderation team. PixPlace will determine in its sole discretion whether a violation has occurred and what action, if any, to take.

Enforcement actions may include:

  • Warning;
  • Content removal or hiding;
  • Temporary account suspension;
  • Permanent account ban;
  • Referral to law enforcement where content is illegal;
  • Forfeiture of Energy and subscription fees (no refund) in cases of severe violations.

We are not liable for any harm resulting from our decision to remove or retain content, or from actions of third-party users. Appeals may be submitted to [email protected].

10. Energy, Plans, and Payments

10.1 Plans and Pricing

PixPlace offers the following subscription plans for AI Studio access (pricing in USD, subject to change):

Quarterly (–20%) and annual (–30%) billing discounts are available. Add-on Energy Packs are available for all users, with exclusive discounts for Pro and Studio subscribers. Prices and Energy amounts may be modified at any time with notice to active subscribers.

10.2 Energy

Energy is a non-monetary virtual unit used to measure AI generation consumption. Energy is deducted per generation based on model type, output type (image or video), resolution, duration, and any applicable markup configured by PixPlace. Energy is non-transferable between accounts. Unused Energy does not expire within the applicable subscription period but is forfeited upon account termination for cause.

10.3 Billing and Refunds

Purchases are processed by third-party payment processors. By making a purchase, you authorize the applicable charge. All purchases are final and non-refundable except: (a) where required by applicable consumer protection law; (b) where a generation failure is attributable to a PixPlace system error and no media output was produced; or (c) as otherwise stated in a specific promotional offer.

If you are an EU/EEA consumer, you have a statutory right of withdrawal from distance contracts within 14 days of purchase (“cooling-off period”), provided the digital content has not already been made available to you with your express request and acknowledgment that the withdrawal right would thereby be lost.

For Russian consumers: refund rights are governed by the Law of the Russian Federation No. 2300-I “On Protection of Consumer Rights” as applicable to digital services.

10.4 Taxes

Prices may be exclusive of applicable taxes. You are responsible for any applicable sales tax, VAT, GST, or similar taxes in your jurisdiction. Where required by law, PixPlace may collect and remit such taxes.

11. Spaces

Spaces are thematic content boards that can be set to public or private. Creators (Space authors) are responsible for:

  • The content they post within their Spaces;
  • Setting appropriate visibility settings (public/private);
  • Ensuring that Space content complies with these Terms and applicable law.

Content in private Spaces is not publicly accessible and is not included in the public sitemap. PixPlace may access content in private Spaces for moderation, security, and legal compliance purposes.

12. Messaging and Real-Time Communications

You agree to use Platform messaging and call features only for lawful communication. You must not use messaging to send spam, unsolicited advertising, malware, or content that violates these Terms. Sending threatening, abusive, or harassing messages is strictly prohibited.

Audio and video calls are not recorded by PixPlace. You must not record calls without the consent of all participants, as required by applicable law (including two-party consent laws in certain US states).

Message content is stored in our database. Platform operators and administrators may access message content for moderation, security, legal compliance, or in response to lawful requests from authorities.

13. Stories

Stories are ephemeral content published to the Stories tray. By publishing a Story, you grant all Platform users the right to view it. Stories are subject to the same content policies as other User Content. PixPlace may remove Stories that violate these Terms.

14. Affiliate Program

14.1 Program Overview

The PixPlace Creator Affiliate Program allows approved participants to earn commission for referring new paying subscribers to the Platform. By joining the program, you agree to the following additional terms:

14.2 Commissions

Approved affiliates earn a commission for each qualifying referral (a new user who purchases a paid plan using the affiliate's referral link). Commission amounts are communicated at the time of program acceptance and may be modified with 30 days' notice. Current commissions are calculated as a percentage of the referred subscriber's first payment — exact rates are disclosed in the affiliate dashboard upon approval.

14.3 Prohibited Affiliate Practices

You must not:

  • Make false or misleading claims about the Platform in connection with your affiliate promotion;
  • Use spam, unsolicited emails, or unauthorized paid advertising using our brand name without written permission;
  • Self-refer or refer family members using fraudulent accounts;
  • Use cookie stuffing, click fraud, or other deceptive techniques to generate artificial referrals;
  • Represent yourself as an official representative, employee, or partner of PixPlace.

14.4 Disclosure

You must clearly disclose your affiliate relationship with PixPlace in all promotional content, in compliance with applicable advertising disclosure requirements (including FTC guidelines in the US, CAP/BCAP rules in the UK, and equivalent local regulations).

14.5 Termination of Affiliate Status

PixPlace may terminate your affiliate status at any time for any reason, including violation of these Terms. Commissions earned prior to termination for qualifying referrals will be paid per the normal schedule. Pending commissions for fraudulent referrals will be forfeited.

15. Partner Program

The PixPlace Partner Program is a B2B collaboration program for AI model developers, creative agencies, compute infrastructure providers, and media brands. Partnership terms, including revenue sharing, integration specifications, branding rights, and exclusivity conditions, are governed by separate partnership agreements entered into between PixPlace and each partner. These Terms apply in addition to, and are not superseded by, any partner agreement unless expressly stated therein.

16. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or resources. PixPlace is not responsible for the availability, accuracy, content, or privacy practices of any third-party services. Your use of third-party services is at your own risk and subject to those services' terms and policies.

The AI Studio integrates with third-party AI model APIs. Your use of AI generation features is subject to the terms and acceptable use policies of the respective AI model providers. PixPlace acts as an intermediary and is not responsible for the output, errors, or limitations of third-party AI models.

17. DMCA and Copyright Infringement

PixPlace respects the intellectual property rights of others and expects users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA) and similar laws in other jurisdictions, we will respond to notices of alleged copyright infringement submitted in accordance with this section.

17.1 DMCA Takedown Notice

If you believe your copyrighted work has been copied or used on the Platform in a way that constitutes copyright infringement, submit a written notice to our designated copyright agent containing:

  1. A physical or electronic signature of the copyright owner or authorized representative;
  2. Identification of the copyrighted work alleged to be infringed;
  3. Identification of the specific content on the Platform alleged to be infringing, with sufficient information for us to locate it (e.g., URL);
  4. Your contact information (name, address, telephone number, email);
  5. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
  6. A statement that the information in the notice is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

17.2 Counter-Notice

If you believe your content was removed by mistake or misidentification, you may submit a counter-notice to [email protected] containing the information required by the DMCA.

17.3 Repeat Infringers

In appropriate circumstances, PixPlace will terminate the accounts of users who are repeat copyright infringers.

17.4 Non-US Users

For users located outside the United States, you may submit copyright takedown requests using the same email address. We will review such requests under the applicable laws of the relevant jurisdiction (e.g., the EU Directive on Copyright in the Digital Single Market, Russian Civil Code provisions on copyright).

18. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION.

PIXPLACE DOES NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE PLATFORM WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (C) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (D) THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (E) THE RESULTS OF AI GENERATION WILL BE ACCURATE, APPROPRIATE, OR LEGALLY USABLE; OR (F) ANY CONTENT ON THE PLATFORM IS ACCURATE, COMPLETE, OR RELIABLE.

Some jurisdictions do not allow exclusion of implied warranties, so the above exclusion may not apply to you in full.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIXPLACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM;
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT;
  • DAMAGES ARISING FROM THIRD-PARTY CONDUCT, CONTENT, OR SERVICES;
  • DAMAGES ARISING FROM AI-GENERATED CONTENT INCLUDING ERRORS, HALLUCINATIONS, OR UNINTENDED OUTPUTS;
  • DAMAGES ARISING FROM LOSS OR CORRUPTION OF ENERGY.

IN JURISDICTIONS WHERE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES IS NOT PERMITTED, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

WHERE LIABILITY CANNOT BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PIXPLACE IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) USD $50.00.

EU/EEA/UK consumers: Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by applicable law.

Russian consumers:Nothing in these Terms limits your statutory rights under the Law of the Russian Federation “On Protection of Consumer Rights.”

20. Indemnification

You agree to defend, indemnify, and hold harmless PixPlace and its officers, directors, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your User Content or Generated Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of any third-party rights.

21. Governing Law and Dispute Resolution

21.1 Governing Law (General)

These Terms are governed by and construed in accordance with applicable international commercial law principles, and, where required by local mandatory law, the law of the jurisdiction in which you are located.

21.2 Dispute Resolution

We encourage you to contact us first to resolve any dispute informally at [email protected]. We will try to resolve your concern within 30 days.

If informal resolution fails, disputes shall be resolved through binding arbitration or litigation as set forth in the jurisdiction-specific terms below, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent immediate irreparable harm.

21.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. This waiver does not apply where prohibited by applicable law (e.g., in certain EU jurisdictions).

22. Jurisdiction-Specific Terms

22.1 European Union / EEA / United Kingdom

If you are a consumer located in the EU, EEA, or UK, you benefit from mandatory protections under applicable consumer protection law that cannot be excluded by contract. Nothing in these Terms affects those protections.

EU consumers may access the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

For UK consumers, disputes may also be referred to an approved Alternative Dispute Resolution (ADR) provider.

The EU Digital Services Act (DSA) transparency and reporting obligations apply to our Platform to the extent required by applicable law. Our DSA transparency report and contact details for authorities are available at [email protected].

22.2 Russian Federation

For users located in the Russian Federation, these Terms are supplemented by and subject to mandatory provisions of Russian law, including:

  • Federal Law No. 149-FZ “On Information, Information Technologies and on Information Protection” (Федеральный закон «Об информации, информационных технологиях и о защите информации»);
  • Federal Law No. 152-FZ “On Personal Data”;
  • Civil Code of the Russian Federation (in particular, provisions on copyright and digital content);
  • Law of the Russian Federation No. 2300-I “On Protection of Consumer Rights.”

Disputes with Russian consumers that cannot be resolved through negotiation shall be subject to the jurisdiction of the courts at the place of residence of the consumer (consumer protection claims) or as otherwise required by applicable Russian procedural law.

Content prohibited under Russian law (including content promoting illegal activities, propaganda of non-traditional sexual relationships as defined by Russian law, etc.) must not be published on the Platform. PixPlace will comply with lawful orders from Russian government authorities, including Roskomnadzor, to the extent required by applicable law.

22.3 United States

For US users, these Terms are governed by applicable federal law and the laws of the state of California (without regard to conflict of law principles), except where preempted by federal law. Disputes not resolved informally shall be submitted to binding individual arbitration under the rules of the American Arbitration Association (AAA) in San Francisco, California, or conducted virtually.

California-specific:If you are a California resident, you waive California Civil Code § 1542, which states that a “general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release.”

23. Termination

By you: You may delete your account at any time through the Platform settings or by contacting [email protected]. Deletion is permanent and cannot be undone. We will process deletion within a reasonable period.

By PixPlace: We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to violation of these Terms, fraudulent activity, risk of legal liability, or extended inactivity.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 4, 5, 17, 18, 19, 20, and 21.

24. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will notify you by email (to the address associated with your account) and/or by displaying a prominent notice on the Platform. The updated Terms will include a new “Last Updated” date.

For material changes that adversely affect your rights, we will provide at least 30 days' advance notice to EU/UK/Russian consumers. For other users, continued use of the Platform after the effective date of the updated Terms constitutes acceptance of the changes.

If you do not agree to the updated Terms, you must stop using the Platform and may delete your account.

25. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, Content License, and any applicable partner or affiliate agreement, constitute the entire agreement between you and PixPlace regarding the Platform.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of our right to enforce such provision in the future.
  • Assignment: You may not assign or transfer your rights under these Terms without our written consent. PixPlace may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
  • Force Majeure: PixPlace is not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, governmental actions, or technical failures of third-party infrastructure.
  • Language: The English version of these Terms is the authoritative version. Translations provided for convenience only.
